The Nursing Home Administrator confirmed the facility had Arbitration Agreements but said no residents were bound by them, and the Clinical Admission Director stated the admission and Arbitration Agreements were included together in one packet and reviewed verbally while residents followed along on an electronic tablet. She also stated that all residents signed the agreements except those who were not cognitively capable. For Resident #6, the resident stated s/he did not recall seeing or signing an Arbitration Agreement and later, after the agreement was read again, declined to enter into it and said s/he did not know s/he was signing an Arbitration Agreement. The signed document showed electronically printed initials on the signature line. Resident #41’s record showed a physician certification that the resident lacked adequate decision-making capacity and a BIMS score of 5 indicating severe cognitive impairment, yet the Arbitration Agreement was signed electronically. Resident #52’s record showed a physician certification that the resident was unable to comprehend information and make decisions and a BIMS score of 7 indicating severe cognitive impairment, yet the Arbitration Agreement contained an electronic signature of an unknown person. The Regional Sales Manager stated there were no documents indicating signing authority for Resident #52, and a temporary Admission Director and the Clinical Admission Director confirmed the tablet-based process could auto-populate signature lines and allow others to check agree/disagree boxes without the resident’s awareness.

During interviews, social services staff stated he completed the binding arbitration with R43 and explained it as a legal form that would speed up the process if residents brought the facility to court, while stating he would not have told residents they were giving up any rights. He also stated he had limited training on binding arbitration and had been responsible for all such agreements until they were transferred to the admission coordinator on 5/1/26. The admission coordinator stated she presented binding arbitration upon admission and would stop and discuss it with family if a resident did not understand. The Administrator stated all binding arbitration agreements were grandfathered in. A facility document titled Explanation of Arbitration Agreement Language to Family and Resident/Patient stated arbitration does not occur in a court, but it lacked indication that the agreement was explained in a form and manner the resident or representative understood, including in a language they understood, and lacked resident or representative acknowledgement of understanding.

The facility policy stated the arbitration offered to residents or their responsible parties should be explained in a language and manner they understand and provide opportunities for questions, and that the resident or legal representative may accept or decline the agreement.
